1. Agreement to terms of usage as prerequisite to using the website of the Global Network of People living with HIV/AIDS (GNP+).

Welcome to the GNP+ website (hereinafter the "Website"). By accessing and using the Website you agree to be bound by the following Terms of Usage, including but not limited to the Privacy Policy, the disclaimer of all warranties, both express and implied, and the disclaimer of all liability. If you do not agree to the following Terms of Usage, you are not permitted to use the Website or any of the content, services, images, graphics, products or representations available on or accessible through the Website.

2. User eligibility.

The Website and its services are available only to individuals who can form legally binding contracts under applicable law. Without limiting the foregoing, the Website and its services are not available to anyone under the age of twelve (12). If you do not meet the qualifications set forth in this paragraph, you may not use the Website and its services.

3. Status of parties.

You agree that no joint venture, partnership, employment, or agency relationship exists between you and GNP+ as a result of your use of this Website. In case of medical information on this website, you further recognize that GNP+ is not a health care provider. You and your medical professionals are solely responsible for the treatment of your HIV and any other medical condition you may have.

4. Privacy Policy.

The protection of your privacy is important, both to you and to GNP+. At the same time, GNP+ believes that collecting information on our Website's users and the people who register to our website will strengthen GNP+ advocacy efforts to improve the quality of life of all PLHIV. GNP+ will not share personal information of its website users and website registrants with any third party, unless you have agreed otherwise. 5. Termination; Cancellation

You may cancel your use of the Website and its services and/or terminate this Agreement with or without cause at any time by providing notice to GNP+ by email provided, however, that a terminated account may continue to exist for up to ten (10) business days before such cancellation takes effect.

GNP+, in its sole discretion and with or without cause, may terminate your access to and use of the Website and may remove and discard any material which you have uploaded, posted, distributed or otherwise made available through the Website. GNP+ may exercise any or all of its rights pursuant to this paragraph at any time and without prior notice and without liability to you or to any third party for the exercise of its rights.

6. Permissible uses of Website materials.

All GNP+ materials are licensed under a Creative Commons BY-NC-ND license. The license is revocable and subject to termination at GNP+'s sole discretion, with or without cause. Translation of GNP+ documents does not constitute a derivative product and is allowed under the above mentioned license.

7. Licence to GNP+ to use content which you post or distribute via the Website.

By posting messages, uploading files, inputting data, or engaging in any other form of communication (collectively referred to as "Content") through the Website you are granting GNP+ an unrestricted, irrevocable, world wide, royalty-free, non exclusive licence (the "Licence") to use, distribute, reproduce, modify, adapt, publish, translate, publicly perform and publicly display the Content (in whole or in part) and to incorporate the Content into other works in any format or medium now known or later developed and to fully sub-license any and all of the rights conveyed pursuant to the Licence. The License shall include the right to exploit any proprietary rights in such communication, including but not limited to rights under copyright, trademark, service mark or patent laws under any relevant jurisdiction.

8. Forum rules

The GNP+ Site contains message and communication facilities (collectively, "Forums"), User agrees to use the Forums only to send and receive messages and material that are proper and related to the particular Forum. By way of example, and not as a limitation, User agrees that when using a Forum, User shall not do any of the following:

• Defame abuse, harass, stalk, threaten or otherwise violate the legal rights (such as rights of privacy and publicity) of others.

• Publish post, distribute or disseminate any defamatory, infringing, obscene, indecent or unlawful material or information.

• Upload or attach files that contain software or other material protected by intellectual property laws (or by rights of privacy of publicity) unless you own or control the rights thereto or have received all necessary consents.

• Upload or attach files that contain viruses, corrupted files, or any other similar software or programs that may damage the operation of another's computer.

• Delete any author attributions, legal notices or proprietary designations or labels in any file that is uploaded.

• Falsify the origin or source of software or other material contained in a file that is uploaded.

• Advertise or offer to sell any goods or services, or conduct or forward surveys, contests, or chain letters.

• Download any file posted by another user of a Forum that you know, or reasonably should know, cannot be legally distributed in such manner.

User acknowledges that all Forums or Discussion Groups are public and not private communications. Further, User acknowledges that chats, postings, conferences, e-mails and other communications by other users are not endorsed by GNP+, and such communications shall not be considered reviewed, screened, or approved by GNP+. GNP+ reserves the right for any reason to remove without notice any contents of the Forums received from Users, including without limitation e-mail and bulletin board postings.

9. Disclaimers

GNP+ does not warrant that the information contained in the website is complete and correct and shall not be liable whatsoever for any damages incurred as a result of its use.

Materials provided on this site are provided "as is" without warranty of any kind, either express or implied, including without limitation warranties of merchantability, fitness for a particular purpose, and non-infringement.

GNP+ specifically does not make any warranties or representations as to the accuracy or completeness of any such written Materials. GNP+ periodically includes additions, changes, improves, or updates the Materials on this Site without notice. Under no circumstances shall GNP+ be liable for any loss, damage, liability or expense incurred or suffered which is claimed to resulted from use of this Site, including without limitation, any fault, error, omission, interruption or delay with respect thereto. Use of this Site is at User's sole risk. Under no circumstances, including, but not limited to, negligence, shall GNP+ or its affiliates be liable for any direct, indirect, incidental, special or consequential damages, even if GNP+ has been advised of the possibility of such damages.

User specifically acknowledges and agrees that GNP+ is not liable for any conduct of any User.

This site may contain advice, opinions, and statements of various information providers and content providers. GNP+ does not represent or endorse the accuracy or reliability of any advice, opinion, statement or other information provided by any information provider or content provider, or any user of this site or other person or entity. Reliance upon any such opinion, advice, statement, or other information shall also be at your own risk.

Neither GNP+ nor its affiliates, nor any of their respective agents, employees, information providers or content providers shall be liable to any User or anyone else for any inaccuracy, error, omission, interruption, timeliness, completeness, deletion, defect, failure of performance, computer virus, communication line failure, alteration of, or use of any content herein, regardless of cause, for any damages.

Neither GNP+ nor its affiliates, nor any of their respective agents, employees, information providers or content providers shall be liable to any User or anyone else for loss, misuse, unauthorized access or disclosure, alteration, or destruction of the information maintained on our systems.

As a condition of use of this Site, User agrees to indemnify GNP+ and its affiliates from and against any and all actions, claims, losses, damages, liabilities and expenses (including reasonable attorneys' fees) arising out User's use of this Site, including without limitation any claims alleging facts that if true would constitute a breach by User of these terms and conditions. If User is dissatisfied with any material on this Site or with any of terms and conditions of use of this Site, User's sole and exclusive remedy is to discontinue using this Site.

This Site contains links to third-party web sites. The linked sites are not under the control or direction of GNP+ and GNP+ is not responsible for the contents of any linked site or any link contained in a linked site. GNP+ provides these links only as a convenience, and the inclusion of a link does not imply endorsement of the linked site and all of its contents by GNP+.

11. Trademark notice.

Trademarks appearing on the Website, including but not limited to GNP+, are the property of their respective owners may not be reproduced without their owners' express permission. The design and layout of the Website is protected as trade dress and may not be copied or imitated in whole or in part.

12. GNP+ right to modify the content and rules.

GNP+ reserves the right to make changes at any time, with or without notice, to the Terms of Usage and to the Website and to the information, representations, images, graphics, content, products and services contained on or accessible through the Website.
